Thousands of apartments may come to Santa Monica, other wealthy cities under little-known law

Earlier this fall, a developer submitted plans for 4,500 apartments in Santa Monica — more new housing than the pricey, beachfront city has built in all of the previous decade.

And because of a little-used provision in state law that kicks in when cities fail to produce a housing plan to accommodate projected population growth, Santa Monica officials may be powerless to stop the construction.

The tactic now could be deployed by developers in more than 100 Southern California cities that are out of compliance with the state requirements. According to experts, it is most likely to be used in wealthier areas with little housing production and high potential profits.

The push for growth comes as Gov. Gavin Newsom and state legislators in recent years have passed laws eroding local controls over home-building, arguing that local resistance is a key reason behind California’s unprecedented housing shortage and high cost of living.

In response, developers are becoming increasingly willing to challenge city officials.

In Redondo Beach, a power plant owner has submitted plans for more than 2,200 housing units using the new tactic.

Dave Rand, an attorney advising Scott Walter, the developer of the Santa Monica projects, said he has fielded inquiries about the tactic in places like Beverly Hills, West Hollywood and Coronado.

“I’ve never had so many calls about any single subject in a shorter period of time,” Rand said. “It demonstrates how broken the system is in California, that people are so desperate to find an alternate pathway.”

Walter’s 4,500 apartments would be spread across 14 buildings, including a 15-story high-rise with 2,000 units that would be the tallest in Santa Monica outside the city’s downtown.

The plans have stunned local elected officials, with some worrying that the community will lose its distinctiveness.

Santa Monica Councilmember Phil Brock called the 15-story high-rise “beyond the pale” and an “unacceptable bar for the rest of the city.”

“Some of this growth will be destructive to the idea that Santa Monica somewhere along the line was supposed to be a beachside town,” Brock said. “As we blend into L.A., we’ll lose that character.”

He expects that he and his colleagues will try to block at least some of the projects.

At issue is a 30-year-old section of state law colloquially known as “the builder’s remedy.”

If the requirement to produce a housing plan every eight years is violated, developers can essentially propose building whatever they want, provided some of the housing is set aside for low- or middle-income families.

The builder’s remedy has long sat unused, said Chris Elmendorf, a law professor at UC Davis who has researched the provision.

In recent years, however, state legislators have beefed up laws to make the builder’s remedy more viable by increasing penalties for cities that reject development and blocking attempts to reduce density. State officials, including Newsom and Atty. Gen. Rob Bonta, also have more assertively enforced housing rules, creating a friendlier environment for those hoping to use them.

State Sen. Nancy Skinner (D-Berkeley), who wrote some of the laws related to the builder’s remedy, said there should be consequences when cities don’t plan for sufficient growth.

“We haven’t taken away local control,” Skinner said. “The localities themselves gave up their local control when they chose to ignore state law.”

The state’s more aggressive stance has led to a cultural shift among frustrated developers. They are starting to rely less on fostering the goodwill of local officials and more on what the law allows them to build, Elmendorf said.

“Some developers are like, ‘Well, I no longer need to be friends with the city council. I just need to know my rights,’” he said. “So they can do things that otherwise would have been a death wish for their business.”

Beverly Hills, Huntington Beach, Malibu, Palm Springs, Pasadena and West Hollywood are among the 124 jurisdictions in Los Angeles, Orange, Riverside, San Bernardino and Imperial counties where the builder’s remedy could be in play because their latest housing plan hasn’t been approved, the state Department of Housing and Community Development confirmed.

Coronado, Del Mar and Solana Beach are among 11 cities in San Diego County in the same circumstances. Bay Area cities’ housing plans are due in January.

At its Oct. 11 meeting, the Santa Monica City Council approved a revised housing plan, which was then certified by state housing officials, putting the city in compliance.

But state officials have said that proposals such as the 14 that Walter submitted before then will still fall under the builder’s remedy. Two other developers also filed projects in Santa Monica before the deadline.

The 16 developments — Walter’s plus the other two — would create 4,562 new apartments, with 941 set aside for low-income residents.

Walter’s firm, WS Communities, is one of the biggest developers in Santa Monica, with 20 apartment buildings completed or under construction.

His proposed 15-story high-rise would be built on 3.3 acres that now house a parking lot and low-rise commercial businesses along Olympic Boulevard.

Walter had already obtained city approval to build a 183-unit apartment complex on the site. But because of rising interest rates and construction costs, he had to significantly expand the size of the project.

“We’ve have witnessed for a decade as the city has previously gone through zoning updates, how long and arduous the process that can be,” Walter said. “We just didn’t want to wait.”

For the last 50 years, housing politics have frequently set the agenda in Santa Monica, a city of 92,000 with an iconic pier and Ferris wheel.

During the 1970s, the city passed what was then one of the nation’s strongest rent control laws. It was also one of the first cities to force developers to provide affordable housing as an additional condition to get their projects approved.

In the decades since, regular disputes have erupted over proposals for large housing and commercial developments. Most recently, debates have centered on tearing down a downtown parking garage and replacing it with low-income housing, as well as building a 521-unit apartment building on what’s now a strip mall anchored by a grocery store. The latter project was the largest in the city’s development pipeline until Walter’s plans came along.

Despite the tremendous demand to live in Santa Monica, the population is only slightly larger than it was in 1970 — in large part because it’s become so expensive and housing construction has slowed.

Santa Monica’s median home value is nearly $1.9 million, almost $1 million higher than the average in the L.A. area, according to Zillow.

A newly leased two-bedroom apartment in the city rents for a median of $2,605 a month, 13% above the regional figure, per data from Apartment List.

The builder’s remedy projects are set to become the city’s next flashpoint.

A slow-growth group, Santa Monica Coalition for a Livable City, is urging the City Council to consider litigation to stop the projects.

“To say residents and council members are deeply concerned about this developer ambush and have questions that must be answered is an understatement,” the group said in a statement last week.

Leonora Camner, a Santa Monica resident and executive director of pro-growth organization Abundant Housing LA, said she would have preferred that the city had initially submitted a housing plan that passed state muster.

Failing that, a remedy that allows for housing to be built is preferable to the city retaining control over its land-use policies, she said.

“I don’t want to see a situation where builders can circumvent local planning,” Camner said. “But if cities can’t for political reasons, or whatever, pass housing plans, people suffer. I’m glad there are these consequences.”

One sticking point for the builder’s remedy projects could be the California Environmental Quality Act, which, especially for larger-scale efforts, could require a lengthy review of environmental effects and open the door to litigation.

Additionally, because the builder’s remedy is untested in court, legal questions remain over what developments qualify, said Elmendorf, the UC Davis law professor.

Because developers must dedicate at least 20% of units for low-income families or 100% for middle-income ones, the projects could be infeasible in less expensive areas with lower profit margins, he said.

Because of these uncertainties, Elmendorf doesn’t expect the builder’s remedy to lead to a massive surge in housing construction across the state.

“The only places where this is a real threat is where development is super expensive,” Elmendorf said.

“It’s the same price, but smaller,” she said. “That cuts down on size and labor.”

Higher prices are hitting everyone this holiday, but food vendors are seeing some of the biggest increases. Small businesses that count on food-centric holidays like Thanksgiving and Christmas are bracing for a difficult season.

At the wholesale level, egg prices are more than triple what they were a year ago, milk prices are up 34% and butter is up 70%, according to data from the U.S. Department of Agriculture. Businesses are also paying more for everything from packages to labor.

Many owners are raising prices to offset the higher costs. But raising prices too much risks driving away the crucial holiday shopper. So, businesses are adapting: adjusting the way they make products, changing gift basket components and adding free gifts instead of giving discounts, among other steps.

Maria Short says that even for Hawaii, where the cost of living is among the highest of any U.S. state, the price increases are “drastic.”

For example, she says, the Short N Sweet Bakery is paying $123 for a case of eggs that cost $42 in October last year. A case of butter that was $91 in October ago; it’s $138 this year.

Among the ways Short is cutting costs, she’ll use a generic box decorated with stickers instead of using a customized box for her desserts. And she ordered a cookie printer rather than having bakers hand-pipe frosting, to save on labor costs.

Sarah Pounders, who co-owns Nashville-based Made in TN, a retailer of locally made food and gifts, says the local vendors who make the items she sells are facing higher prices. The cost of butter needed to make cookies is five times the price from a year ago and cardboard packaging is double.

Made in TN has raised some prices and is selling other items for less profit. Customers are already paying more for things like gas, clothing and cars, as well as services like eating out and travel, so they’re not as quick to spend as they might have been in prior years. They’re noticing the price increases, she said.

“If bread is up 50 cents you will still buy bread,” Pounders said. “But if it’s an impulse buy or luxury specialty item — if chocolate-covered cookies are up $1 — you might think twice.”

Price increases aren’t an option for her popular gift basket business. Corporations often have a $50 cap and events at hotels like weddings can have a $20 sweet spot. So, Pounders has made adjustments. In some cases, she has replaced a $20 bag of coffee, which is up $3, with less expensive hot chocolate. Or she puts one less chocolate bar in the basket.

She’s also buying more items that could sell throughout the year and less seasonal inventory like peppermint bark and hot chocolate on a stick.

“Every year is a guess, and the economy makes it even more volatile,” she said.

Eric Ludy, co-founder of Cheese Brothers, an online purveyor of Wisconsin cheese and gift baskets, faces a tricky task this holiday season as he tries to offset higher costs for packaging, labor — and cheese. Half of his business comes in the weeks between Black Friday and Christmas.

Cheese Brothers has nominally raised prices for their cheese – a block of cheddar will cost customers $7.50 instead of $7, for example. Ludy says he’ll also rely less on discounts this year and more on gifts and other giveaways.

A bit of a gamble that Ludy is taking is upping the spending limit for free shipping to $70 from $59.

“People buy enough to get free shipping, it’s a huge motivator,” he said. He hopes raising the shipping price could push the average order up to $70. But it could also stop people from clicking the “Buy” button.

“We might start to see people push back and not buy as much,” he said. “It’s a delicate balance.”

Americans eat an estimated 40 million turkeys during the holidays, according to industry group The National Turkey Federation. But turkey purveyors are facing a double whammy this Thanksgiving: higher prices plus an avian flu epidemic that is shaping up to be one of the worst in history.

Kevin Smith, owner of Beast and Cleaver, a butcher shop in Seattle, Washington, gets his turkeys from small, local farms. He says he’s paying $6 a pound for turkey this year, up from $3.80 to $4.20 last year. In addition, he only plans to sell 150 turkeys this year, down from 250 last year, due to shortages caused by the avian flu.

Still, Smith doesn’t plan to charge more for turkey than he did last year: $9 a pound. He says he has a “solid base of customers” willing to pay for more local, sustainable turkeys, but there’s a limit.

“We don’t want people to have to pay $12 a pound for turkey,” he said.

He’s raising the price of other items, like ground sausage and pates, to offset the higher costs of poultry. And while the rush of panic-buying during the pandemic has subsided, he’s still expecting a good holiday season.

“We’re still very busy,” he said. “It’s just a more stable busy.”

SANTA MONICA, CA — People in Santa Monica who prefer fresh-cut Christmas trees — whether they cut down trees themselves or buy from a retail lot — shouldn’t have any trouble finding them in 2022, according to a survey of Christmas tree growers by an industry trade group.

The prediction by the Real Christmas Tree Board comes after a survey of 55 wholesalers that supply two-thirds of the market for fresh trees and 1,500 U.S. adults ages 21-49.

“The real Christmas tree industry met demand last year, and it will meet demand this year,” Marsha Gray, executive director of the Real Christmas Tree Board, said in a news release. “This is essentially a year without surprises.”

Real Trees May Be Pricier

Trees, like everything else, may cost a little more this year. Tree growers answering the Real Christmas Tree Board’s survey said growing costs have increased. About 36 percent of respondents said costs were up 11 percent to 15 percent compared to last year, while 27 percent said costs increased 16 to 20 percent. Another 10 percent said the year-over-year increase in production costs was more than 21 percent.

As a result, 71 percent of growers said they would likely increase wholesale prices. That means trees could cost anywhere from 5 percent to 20 percent or more.

Consumers seem to be taking the expected price hikes in stride.

“While our grower survey tells us wholesale prices are likely to be higher for real Christmas trees this year, our consumer survey tells us people expected as much,” Gray said in the news release. “The good news is fans of real Christmas trees say they believe the trees are worth the price, and they are willing to pay more this year if necessary to get one — and that’s not a surprise either.”

Growers’ expectations of a healthy season are also tempered by fears of supply chain disruptions, the No. 1 concern of 44 percent of growers. About 35 percent said their top concern is that inflation-strapped consumers will cut real Christmas trees from their lists this year. About 21 percent of respondents cited labor availability concerns.

Neogene Therapeutics, Inc. (Neogene), a global clinical-stage biotechnology company pioneering the discovery, development and manufacturing of next-generation T-cell receptor therapies (TCR-Ts), today announced it has entered into a definitive agreement to be acquired by AstraZeneca.

With a shared goal of bringing cell therapies to patients with solid tumors, Neogene’s expertise in TCR-T discovery, development and manufacturing will strengthen AstraZeneca’s ambition to transform outcomes for patients.

TCR-Ts are emerging as a promising therapeutic modality in cancer treatment. Most current cell therapy approaches in oncology focus on modifying the immune system’s T cells to recognize proteins expressed on the surface of cancer cells. In contrast, TCR-Ts can recognize intracellular targets, including cancer-specific mutations, thereby potentially unlocking targets previously inaccessible using cell therapies.

AstraZeneca is building a cell therapy portfolio that aims to empower and equip the immune system’s T cells, to more effectively fight cancer. Their research teams are exploring new ways to target and arm CAR-Ts to increase their effectiveness in solid tumors and working to engineer off-the-shelf patient-ready therapies already developed from the cells of healthy donors.

Financial considerations

AstraZeneca will acquire all outstanding equity of Neogene Therapeutics for a total consideration of up to $320m, on a cash and debt free basis. This will include an initial payment of $200m on deal closing, and a further up to $120m in both contingent, milestones-based and non-contingent consideration.

The transaction is expected to close in the first quarter of 2023, subject to customary closing conditions and regulatory clearances. Upon completion of the transaction, Neogene will operate as a wholly owned subsidiary, with operations in Amsterdam, The Netherlands, and Santa Monica, California, USA.
